General Terms & Conditions 1. Contract scope Wave Manufacturing LLC in this GTC always includes the Wave Manufacturing its subsidiaries and divisions. For better readability Wave Manufacturing in this document always means Wave Manufacturing and its subsidiaries and Wave Manufacturing sells all goods specified in the Online Store to business and private customers (hereafter referred to as "customers") subject to the general conditions for sales and delivery (GTC) listed below. 2. Entering into a contract In order for a contract to be entered into between the customer and Wave Manufacturing , the order submitted by the customer must first be accepted by Wave Manufacturing. The customer may place his order via telephone, telefax, or Internet-Shop. Wave Manufacturing accepts the order either: (a) by sending the customer an order confirmation via fax, e-mail, or normal mail, or (b) by delivering the goods to the customer with a delivery slip. 3. Product offerings Any details that the customer receives about the goods during the order process are not binding. This includes modifications to product design and technology, which improve the product's functionality, as well as errors in the product description, illustrations, and pricing details. All technical data about individual products is based on information provided by the manufacturer and is binding. 4. Payment conditions Wave Manufacturing is working with PayPal as Web shop Merchant and it therefore complies with all the security and private standards. All catalog prices are base prices; subject to price changes without prior notice. Prices are in US$, Swiss Francs (Fr.) or in Euro (depending on the shipment address and/or the chosen currency) and does not including the country value-added tax (except for delivery inside Switzerland) and does not include packaging or shipping costs from our warehouse. Shipping and packaging costs are charged separately. Payment terms are either Credit Card or according to the terms agreed by both parties. 5. Delivery conditions Products will be delivered immediately to the address provided by the customer as long as the products are on stock. If products are out of stock, the customer will be sent a written order confirmation via Email stating the probable delivery date. Goods are delivered from the warehouse at the customer's own expense and responsibility. This is also applicable for partial deliveries. A certificate from the respective shipping company is required for regulating any reimbursement for externally visible damages to the ordered goods. 6. Property reservations Delivered goods remain the property of Wave Manufacturing until the wares have been paid for in their entirety. Wave Manufacturing reserves the right to make the requisite entry to the property reservations register. If the customer falls behind in paying the purchase price, Wave Manufacturing has the right to withdraw from the contract (Withdrawal declaration) and to repossess the goods. 7. Right of returns Delivered goods must be returned in an undamaged condition, complete and in working order. Prior to sending goods back, the customer must always request a RMA return authorization number by email. contact@wavemfr.com Stating: product, date of purchase, invoice number and the complete delivery address. Product Returns without a RMA number will be rejected. 8. Warranty for defects and liability Unless there is a specific mention of a longer guarantee period, all products in the catalog are guaranteed for a period of 12 months from the date of purchase. Products will be replaced or repaired free of charge. The guaranty is dissolved if modifications or repairs are made to the product without Wave Manufacturing's written agreement. Compensation for damages is excluded where allowed by law. In particular, Wave Manufacturing is not liable for damages caused either by inappropriate use or natural wear and tear or for damages resulting from the delivered item itself (e.g., consequential damages from defects). 9. Intellectual property Wave Manufacturing owns the rights to every design, text, and graph on its web site and products. Making a copy or any kind of reproduction of either the entire web site or parts thereof may be made strictly for the purpose of submitting an order to Wave Manufacturing. The Wave Manufacturing name, all page headers, navigation bars, graphs, and display symbols are registered trademarks, brands, or protected brands of Wave Manufacturing. All other trademarks product or company names or logos which are displayed on the web site are the sole property of their legitimate owner. Wave Manufacturing retains the property rights and copyrights to all illustrations, drawings, calculations, and other documents. Before transferring such items to a third party, the customer must request Wave Manufacturing's explicit agreement in writing. 10. Data protection Wave Manufacturing ensures adherence to the regulations of the data protection laws and the relevant legal standards when inquiring, administering, and using person-related data. Transfer of such data to third party partner organizations will occur only when absolutely necessary for proper delivery of services (e.g., for order processing). The customer hereby declares himself in agreement with said use of his personal data. In general, the customer has the right at any time to request to see his personal data, which has been saved by the company, and to forbid the use of such data for internal market research purposes. 11. Legal jurisdiction and applicable law These terms and conditions (GTC) and any contracts entered into under this GTC are subject to law excluding UN purchase rights (CISG). Concluding requirements Sales of Wave Manufacturing products which are specified in any printed or online form or the online shop are covered exclusively by the version of the general terms and conditions (GTC) that is valid at the point in time the contract is entered into. These terms and conditions (GTC) are particularly valid where they differ from the customer's terms and conditions. Software purchases are additionally covered by the licensing requirements of the enclosed data carrier and / or the software manufacturer's licensing requirements. By opening the sealed data carrier the customer explicitly acknowledges these requirements. Should individual requirements be or become invalid, this has no impact on the legal applicability of the remaining terms and conditions in this GTC. In general, Wave Manufacturing reserves the right to make changes at any time to these general terms and conditions (GTC)
